Terms of Service

Last updated: 6 September 2026 · Version 1.0

This agreement is in plain language as required by section 22 of the Consumer Protection Act 68 of 2008. If anything is unclear, use our contact form before you sign up.

1. Who we are

Kompliant is a South African sole proprietorship carried on by <Owner's full name>, trading as Kompliant, operating from <physical and postal address>, and can be contacted via our contact form. The business is that of a natural person; the owner is personally liable for the obligations of the business. All prices are quoted in South African Rand (ZAR).

Kompliant is not the Compensation Fund, SARS, CIPC, the Information Regulator, or any other government department or agency, and is not affiliated with any of them. Kompliant is a private software and support business.

2. The service

Kompliant is a subscription service that helps businesses track and prepare for their legal obligations, including:

  • a compliance check and risk score;
  • tracking of deadlines (COIDA Return of Earnings, Letter of Good Standing, CIPC annual return, SARS returns, VAT, B-BBEE, POPIA, UIF and more);
  • reminders by email and WhatsApp (only where you opt in to WhatsApp);
  • estimated COIDA assessment figures and draft documents (e.g. B-BBEE affidavit, POPIA privacy documents);
  • optionally, paid done-for-you services described on our services page.

3. Not legal, tax or accounting advice

Kompliant gives guidance and calculators. The information, figures, checklists and generated documents are indicative only and do not constitute legal, tax, accounting or financial advice. The final business user remains responsible for checking figures with the relevant authority or a registered professional (including a registered tax practitioner where required by section 240 of the Tax Administration Act) and for submitting their own returns. Kompliant's done-for-you COIDA service connects to the official government portals; before relying on generated documents, verify them against the official requirements in force at the time.

Our fees are for our services only. Government bodies — including the Compensation Fund (COIDA registration, ROE Online filing and the Letter of Good Standing) and CIPC — charge their own fees (or none) directly, and those are never included in, nor replaced by, Kompliant's fees.

4. Account and obligations

  • You must be 18 or older and lawfully entitled to contract in South Africa.
  • You must provide accurate information. Kompliant is not liable for losses caused by incorrect information you provide.
  • Keep your login and profile secure. Tell us immediately of any unauthorised use.
  • You may not resell, scrape, or use the service to run a competing product.

5. Fees and billing

Plans are priced as shown on our pricing page in South African Rand (ZAR). You may choose to pay monthly in advance or yearly in advance (10 months' equivalent for 12 months' service). Payment is made by your selected payment method (card), processed by a PCI-DSS-compliant payment provider.

Done-for-you services — payment in full before work starts. For one-off services (ROE filing, LOGS, registration, audits and similar), we issue a written, itemised quote for approval. No work begins until the quoted amount is received in full and has cleared in our account (EFT cleared funds or bank-confirmed card payment). We will not commence, file or submit anything on your behalf before payment is received and cleared, and we will not charge you after the fact without a prior approved quote.

Government and regulator fees (CIPC, Compensation Fund, and similar) are not included in our flat rates and are paid by you to the authorities directly, unless the approved quote expressly says otherwise. If we ever pay such a fee on your behalf, we pass it through at cost with a receipt and never mark it up. Our flat rate is exclusively our professional fee for the preparation, correctness and assurance work.

5. Monthly opt-out registry cleansing — how the price is set

Advertised prices are starting prices, and the exact price always depends on your record count. The monthly opt-out registry cleansing service is advertised "from R499/month". That R499 is our professional fee for cleansing a database of up to 2,000 contact records in one month. If your database exceeds 2,000 records, an additional professional fee of R0.15 per extra record applies, so for example 5,000 records are billed at R499 + 3,000 × R0.15 = R949 for the professional work, and 8,000 records at R499 + 6,000 × R0.15 = R1,399.

The NCC Opt-Out Registry cleansing fee of R0.12 per record is a regulator fee charged at cost and passed through with a receipt; it is calculated on your total record count and never marked up (for 5,000 records that is R600, payable to/at cost of the National Consumer Commission).

In every case you are shown the exact itemised total on a written quote before you approve it, and in accordance with clause 5 above no work starts until that quoted amount has been paid in full and cleared. No advertised or displayed price, including the "from R499" figure, is a flat commitment to you: your binding price is always the approved quote, calculated from the record count you supplied.

5A. Company registration and acting on your behalf

Where we register a new company with CIPC for you, you appoint us, on submission of the intake form and acceptance of your approved quote, to act as your agent for the limited purpose of incorporating the company: reserving the name(s), filing the incorporation and related CIPC forms. The registration is a once-off professional fee (Standard R599, Full House R999, or as shown on your approved quote) plus CIPC's government fee (currently R175 for registration with a name; extra names R50 each) which we pass through at cost. You never pay us a yearly fee to stay registered — CIPC's annual return (R100–R3,000, set by your turnover) is a separate, yearly obligation paid to CIPC at cost, and we only handle it if you separately request that service.

To act for you we will ask for a brief written authority (instruction) and a certified copy of each director's ID not older than 3 months, as CIPC requires. We use the details you give us to prepare the filings; you are responsible for their accuracy. We do not provide company-law or tax advice. VAT registration and returns are not handled by us: we give you a step-by-step guide and you submit directly to SARS yourself, or use a registered tax practitioner (section 240 of the Tax Administration Act). A B-BBEE EME affidavit we prepare is for your signature — a commissioner of Oaths must witness it (their small fee, if any, is separate), and it is valid for 12 months.

No guarantee of time. We cannot and do not guarantee a registration deadline. CIPC alone decides the turnaround and it varies: with complete, correct documents and an available name, most (Pty) Ltd registrations complete in about 1–5 working days, but an issue (a rejected name, uncertified or unclear ID copies, incomplete details, ID verification, or CIPC backlogs or outages) can extend this to 7–14 working days or longer, and each correction restarts the clock. The optional same-day filing (an additional CIPC fee) only prioritises CIPC's own processing and does not override CIPC's decision. If CIPC rejects or delays a filing for any reason, our professional fee remains payable for the work we have done (refunds apply per our Refund Policy); any government fee already paid to CIPC is non-refundable as described in that policy.

6. Cooling-off and cancellation

(a) Online purchases you initiate — ECTA 7-day cooling-off (s44 ECTA 25 of 2002). If you sign up online without us contacting you first, you may cancel this agreement within 7 days of signing up without reason or penalty. We will refund any amounts paid within 30 days.

(b) Purchases after direct marketing — CPA 5-business-day cooling-off (s16 CPA 68 of 2008). If you enter into this agreement because we approached you (e.g. by phone, WhatsApp or email) as part of direct marketing, you may cancel within 5 business days of signing up, without reason or penalty. We will refund within 15 business days.

  • Cooling-off does not apply where a service has been fully performed with your prior express consent, or to digital products after you have started downloading/using them.
  • After the initial period, you may cancel at any time for the next billing period via our contact form or your dashboard.
  • Refunds are made to the original payment method.

7. Our liability

The service is provided "as is" on an "as available" basis. To the maximum extent permitted by law, Kompliant and its staff are not liable for indirect or consequential losses (including loss of profits, revenue, goodwill or data), or for any penalties, interest, or fines imposed on you by a regulator. Nothing in these terms excludes liability we may not lawfully exclude (such as liability for gross negligence or death or injury caused by our negligence).

8. Your privacy and data

We process your personal information in line with the Protection of Personal Information Act 4 of 2013 (POPIA). Read our Privacy Policy and PAIA Manual. Where we processes employee or customer personal information on your behalf, a data-processing (operator) agreement in our Terms applies and we follow your lawful instructions only.

9. Payments and how we handle your card details

  • Your card number, expiry and CVV are entered on our payment provider's hosted page over HTTPS and never touch, pass through, or get stored on our servers. We never see, store, or log your full card details.
  • Provider API keys and our bank details are stored securely (keys only in server environment variables; bank details encrypted at rest) and are only revealed to you when viewing your own invoice.
  • Done-for-you work starts only after your payment has cleared — not when you place the order.
  • Paid plans: your renewal invoice is generated automatically each cycle. Paying it advances your billing date; if a renewal stays unpaid beyond the grace period (10 days), your account returns to Free. We never charge your card automatically unless you have separately enabled a provider auto-charge.
  • Every invoice or system message you are entitled to is also placed in your in-app inbox, so nothing is lost if an email or WhatsApp fails to arrive.

10. Fair use, security and fraud prevention

We take reasonable measures to protect our service and your data (HTTPS, rate limiting, access controls, and monitoring for suspicious activity). To help stop fraud and hacking:

  • Keep your login and payment details confidential. We will never ask you for your password or OTP — treat any such request as suspicious.
  • You may not resell, share, scrape, overload, or try to gain unauthorised access to the service, our systems, or other users' data.
  • We may ask you to verify your identity (e.g. by confirming your business registration or banking details) before starting large or sensitive work.
  • We monitor payment methods and may hold or refuse work where a payment has not cleared or appears fraudulent, and we may report confirmed fraud to the authorities.
  • We reserve the right to suspend accounts involved in suspected fraud, abuse, or breach of these terms, after notice where practical.

11. Changes, duration and termination

We may update these terms from time to time (e.g. for legal changes — including the POPIA 2025 amendments and the increased VAT threshold). We will notify you by email and post a new "last updated" date. Continued use after 14 days means you accept the change. You may terminate by email or dashboard; termination takes effect for the next billing period.

12. Complaints and dispute resolution

  1. Send complaints via our contact form; we respond within 5 business days.
  2. Unresolved? Report it to the National Consumer Commission (CPA) or the Information Regulator (POPIA/PAIA).
  3. Agreement is governed by the laws of the Republic of South Africa; the courts of South Africa have jurisdiction.

13. General

These terms, together with the Privacy Policy, the PAIA Manual and the Disclaimer, form the whole agreement. If any term is unenforceable, the rest remains in force. We may assign this agreement with notice to you so long as your rights are not reduced.
